Acceptance of Terms
These Terms of Use (“Terms”) constitute a legally binding agreement between Kas Maven Consult (“Kasem”, “we”, “us”, “our”), operating as a sole proprietorship registered in Ghana, and the institution, company, school, or organisation (“Subscriber Institution” or “you”) that accesses or uses the Kasem platform at kasem.app or any associated subdomain.
By registering for an account, clicking to accept these Terms, or otherwise accessing or using the Kasem platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not access or use the platform.
If you are accepting these Terms on behalf of an institution, you represent and warrant that you have the authority to bind that institution to these Terms.
Definitions
- “Platform” means the Kasem web application, subdomains, APIs, and all associated services provided by Kas Maven Consult.
- “Subscriber Institution” means any school, company, organisation, or entity that has registered and subscribed to access the Platform.
- “Administrator” means the individual(s) appointed by a Subscriber Institution to manage and respond to cases on the Platform.
- “Reporter” means any individual who submits an anonymous report through a Subscriber Institution’s Kasem portal.
- “Case” means a report submitted by a Reporter through the Platform.
- “Subscription” means the paid access arrangement between Kasem and a Subscriber Institution.
Platform Access and Permitted Use
Subject to these Terms and timely payment of applicable fees, Kasem grants the Subscriber Institution a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purpose of receiving, managing, and responding to anonymous internal reports submitted by the institution's members, employees, or students.
The Subscriber Institution must not:
- Use the Platform in any way that violates applicable Ghanaian law or regulation;
- Attempt to reverse-engineer, decompile, or otherwise derive the source code of the Platform;
- Resell, sublicense, or otherwise transfer access to the Platform to any third party;
- Attempt to identify, de-anonymise, or otherwise unmask the identity of any Reporter;
- Introduce malware, viruses, or any other malicious code into the Platform;
- Use automated tools, bots, or scrapers to access or interact with the Platform; or
- Take any action that could impair, overburden, or damage the Platform or its infrastructure.
Kasem reserves the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice, except where required by urgent security concerns.
Account Registration and Security
To access the Platform, the Subscriber Institution must register an account by providing accurate and complete information including the institution's name, a valid email address, and a chosen subdomain. The Subscriber Institution is responsible for maintaining the confidentiality of its login credentials and for all activities that occur under its account.
The Subscriber Institution must notify Kasem immediately at hello@kasem.app if it suspects any unauthorised access to or use of its account.
Each account is registered to a single institution. Account credentials must not be shared with individuals outside the organisation.
Subscription, Pricing, and Payment
5.1 Pricing
Access to the Platform is provided on a subscription basis. Fees are determined by the number of users eligible to submit reports through the Subscriber Institution's portal. Current pricing is available on request at hello@kasem.app or as set out in the Subscriber Institution's subscription agreement.
A one-time setup fee applies to all new Subscriber Institutions. This fee covers system configuration, onboarding, and administrator training.
5.2 Billing Periods
Subscriptions may be billed on a monthly or annual basis. Subscriber Institutions that elect annual billing receive a discount on the applicable monthly rate. Annual subscriptions are payable in advance.
5.3 Payment Terms
All fees are quoted and payable in Ghana Cedis (GHS). Invoices are issued at the start of each billing period and are due within fourteen (14) days of the invoice date. Kasem reserves the right to suspend access to the Platform if payment is not received within this period.
Kasem reserves the right to revise its pricing with thirty (30) days written notice to the Subscriber Institution's registered email address. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing.
5.4 No Refunds
All fees paid to Kasem are non-refundable except as required by applicable Ghanaian law. Cancellation of a subscription does not entitle the Subscriber Institution to a refund of any fees already paid for the current billing period.
Cancellation and Termination
6.1 Cancellation by Subscriber Institution
The Subscriber Institution may cancel its subscription at any time by providing written notice to hello@kasem.app. Cancellation takes effect at the end of the then-current billing period. No refund will be issued for the remaining portion of any prepaid billing period.
6.2 Termination by Kasem
Kasem may suspend or terminate a Subscriber Institution's access to the Platform immediately, without prior notice or liability, upon the occurrence of any of the following:
- A material breach of these Terms;
- Non-payment of fees after the due date;
- Any use of the Platform that Kasem reasonably believes to be unlawful or harmful to Reporters, third parties, or the integrity of the Platform; or
- Any attempt to de-anonymise or identify a Reporter.
Kasem may also terminate these Terms for convenience by providing thirty (30) days written notice, in which case a pro-rated refund of any prepaid fees will be issued.
6.3 Effect of Termination
Upon termination, all licences granted under these Terms cease immediately. The Subscriber Institution may request an export of its case data within fourteen (14) days of termination, after which Kasem will delete all associated case data within ninety (90) days.
Reporter Terms of Submission
Reporters who submit cases through the Platform are not parties to a subscription agreement with Kasem. However, by submitting a case, a Reporter acknowledges and agrees to the following:
- The Reporter submits information voluntarily and understands that absolute anonymity cannot be guaranteed (see the Privacy Policy for details);
- The Reporter must not submit false, malicious, or defamatory reports;
- The Reporter is solely responsible for the content of their submission and any consequences arising from it within the Subscriber Institution;
- The Recovery Phrase issued upon submission is the Reporter’s sole means of accessing their case record — Kasem cannot recover a lost Recovery Phrase; and
- Kasem is not a party to any employment, disciplinary, or legal proceedings that may arise from a submission.
Data Handling and Confidentiality
The Subscriber Institution is an independent data controller in respect of case content submitted through its portal and is solely responsible for ensuring that its handling of such data complies with applicable law, including Ghana's Data Protection Act, 2012 (Act 843).
Kasem's handling of personal data is governed by the Privacy Policy. The Subscriber Institution agrees to make the Privacy Policy available to Reporters who use its portal.
The Subscriber Institution must not use case content for any purpose other than the legitimate internal investigation and management of the reported matter.
Intellectual Property
The Platform and all associated intellectual property are owned by Kas Maven Consult. Nothing in these Terms transfers any intellectual property rights to the Subscriber Institution.
The Subscriber Institution retains ownership of all case content submitted through its portal. By using the Platform, the Subscriber Institution grants Kasem a limited licence to store and process such content solely for the purpose of providing the Platform services.
The Subscriber Institution must not use Kasem's name, logo, or branding in any public communication without prior written approval.
Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Kasem does not warrant that the Platform will be uninterrupted, error-free, or completely secure. Kasem does not review, moderate, or verify the accuracy of any case content submitted by Reporters.
Kasem is not responsible for any decisions made by the Subscriber Institution or its administrators in response to case submissions, nor for any consequences arising from such decisions.
Limitation of Liability
To the maximum extent permitted by applicable law, Kasem's total aggregate liability to the Subscriber Institution for any claims arising out of or relating to these Terms or the use of the Platform shall not exceed the total fees paid by the Subscriber Institution to Kasem in the three (3) months immediately preceding the event giving rise to the claim.
In no event shall Kasem be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if Kasem has been advised of the possibility of such damages.
Indemnification
The Subscriber Institution agrees to indemnify, defend, and hold harmless Kas Maven Consult from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with:
- The Subscriber Institution’s use of the Platform in breach of these Terms;
- Any case content submitted through the Subscriber Institution’s portal;
- The Subscriber Institution’s handling of Reporter data or case content; or
- Any violation of applicable law by the Subscriber Institution.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Ghana. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation. If not resolved within thirty (30) days of written notice, either party may refer the matter to the courts of Ghana, which shall have exclusive jurisdiction.
General Provisions
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between the parties with respect to the subject matter hereof.
Amendments: Kasem may amend these Terms at any time by posting an updated version at kasem.app/terms and notifying the Subscriber Institution's registered email address. Continued use of the Platform after the effective date constitutes acceptance.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: Kasem's failure to enforce any right or provision shall not constitute a waiver of that right or provision.
Assignment: The Subscriber Institution may not assign or transfer any rights or obligations under these Terms without Kasem's prior written consent.
Force Majeure: Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control.
